Your role at Vantive

The Senior Manager, Procurement Contracts provides legal support to the Global Procurement organization. This role is responsible for leading legal support for indirect procurement matters including reviewing, redlining, and negotiating various agreements with vendors, including supplier services and product agreements, logistics agreements, software and SaaS agreements, professional services agreements, consulting services agreements, software licenses, and NDAs, and providing operational leadership for the department.

What'll be doing

Operational Function and Leadership:

  • Lead support for all indirect legal procurement matters including managing contractors and outside counsel (as applicable) to ensure consistency and alignment with legal priorities and regular interactions with outside counsel.

  • Work with Global Indirect Procurement on legal issues, reviewing and negotiating agreements based on both Vantive standard template agreements as well as third-party agreements

  • Act as the central point of contact between Legal and Procurement for all indirect legal procurement contract matters.

  • Manage all contract negotiation and review, including as conducted by contractors and/or outside counsel, with limited internal attorney supervision.

  • Analyze contract risks and recommend course of action on legal matters to business stakeholders.

  • Assimilate input from various Legal department stakeholders on draft agreements.

  • Serve as an operational bridge for Indirect Legal and Procurement and collaborate with Legal, Procurement, Compliance, Quality, Finance and/or other internal functions to align contracting templates and fallback positions with business priorities, operational efficiencies and cost savings.

Process Development & Improvement:

  • Develop and manage the Indirect Legal Procurement workflow for intake, triage, and prioritization of matters to ensure efficient legal review, resource allocation and contract turn-around. 

  • Collaborate with Procurement leadership to develop policies and procedures relating to intake and workflow process for legal review of indirect procurement matters, identifying gaps and inefficiencies in current workflows, and implementing process improvements.

  • Develop and implement improvement process for contract templates, fallback language and other tools/processes to facilitate increased business independence on routine legal matters.

  • Develop and provide training to the business on various legal matters related to procurement contracting (e.g. utilizing templates, NDA process, etc.) to achieve efficiencies and operational cost savings.

  • Develop a Vantive Indirect Legal playbook to document Vantive legal positions and fallback preferences and ensure consistent application of legal risk positions in line with Vantive policy and through cross-functional collaboration with Vantive Legal and operational/business subject matter experts.

  • Lead Indirect Legal Procurement process documentation and team training/knowledge-sharing to ensure consistency.

Cross-Functional Representation

  • Represent the Indirect Legal Procurement team in cross-functional initiatives involving Indirect Procurement, Compliance, Finance and/or other business stakeholders.

  • Supports Global Procurement in the development of legal strategies and works closely with the Procurement Center of Excellence.

  • Represent Indirect Legal Procurement at quarterly and annual Procurement meetings.

  • Provide clear, proactive communication to Legal leadership on high-impact operational or policy-level issues impacting Indirect Legal Procurement.

What'll bring

  • Bachelor’s degree and/or paralegal certification preferred, or equivalent legal experience.

  • Minimum of 10 years paralegal or equivalent legal experience.

  • Prior in-house experience preferred.

  • Experience in contract management, preferably in a procurement environment.

  • Highly organized with strong knowledge of contract law and procurement processes.

  • Demonstrated ability to lead cross-functional initiatives and build scalable processes.

  • Experience in leading and managing a contract management team

  • Excellent negotiation and communication skills.

  • Ability to work independently and manage multiple priorities.

  • Demonstrated ability to resolve issues and solve problems.

  • Ability to drive projects to conclusion with minimal supervision.

  • Ability to pro-actively identify and take action on legal issues.

  • Proficiency in contract management software and Microsoft Office Suite.

  • Knowledge of US and foreign legal systems and environment.

We understand compensation is a principal factor as you consider the next step in your career. At Vantive, we are committed to equitable pay for all employees, and we strive to be more transparent with our pay practices. The estimated base salary for this position is $136,000 - $204,000 annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based upon location, skills and expertise, experience, and other relevant factors.
