The Director, Executive Compensation, is responsible for the design, implementation, and administration of executive compensation programs including base pay, short-term incentives, long-term incentive structures, and deferred compensation. This role serves as a subject-matter expert and strategic partner to senior leadership, including supporting the Compensation and Governance Committee of the Board of Directors and partnering on executive compensation disclosures.

Responsible for preparing materials for Compensation and Governance Committee meetings and supporting executive compensation-related disclosures.

The ideal candidate will have a strong technical background in executive compensation, excellent communication skills, and the ability to build effective relationships with key stakeholders.

This role reports to the VP, Total Rewards and will manage a small team, with functional oversight and coordination of day-to-day executive compensation activities on a global basis.

Key Responsibilities

  • Design, administer, and evolve executive compensation programs aligned with company strategy and business objectives.

  • Develop materials for Compensation and Governance Committee meetings including collaborating with the appropriate internal and external stakeholders as appropriate.

  • Provide analytical insights and recommendations to improve executive compensation programs and address business needs.

  • Oversee the compensation program for all positions at the VP level and above, including benchmarking, salary ranges, and short- and long-term incentive opportunities.

  • Ensure internal equity, external competitiveness, and regulatory compliance of executive compensation programs.

  • Support the design and lead the administration of long-term incentive programs, including grant guidelines, award vehicles, plan documentation, and award tracking, in partnership with internal and external stakeholders.

  • Collaborate with Talent Acquisition and senior leaders to develop compensation offers for external candidates at the VP level and above.

  • Develop and maintain governance practices, policies, and processes to support executive compensation programs and ensure regulatory compliance.

  • Work closely with the Office of the Corporate Secretary to support accurate and timely executive compensation disclosures in the proxy statement and other required filings.

  • Partner with Finance on incentive design considerations, accounting treatment, and tax implications related to executive compensation programs.

  • Build relationships with executives to ensure understanding of their compensation arrangements and outcomes.

  • Develop executive and employee communications related to executive compensation programs, including annual equity awards.

Leadership & Collaboration

  • Directly manage a small team supporting executive compensation activities.

  • Provide functional guidance to HR colleagues involved in equity or executive compensation processes globally.

  • Partner cross-functionally with Total Rewards, Legal, Finance, Talent Acquisition, and external advisors.

  • Influence stakeholders through subject-matter expertise, analysis, and clear communication.

Qualifications & Experience

  • Bachelor’s degree required.

  • 10+ years of experience in executive compensation, including equity compensation and governance.

  • Experience in a publicly traded company environment preferred.

  • Strong knowledge of SEC regulations, proxy disclosures, shareholder advisory firm voting policies, and executive compensation best practices.

  • Excellent analytical, financial modeling, and Excel skills, with strong attention to detail.

  • Strong written, verbal, and interpersonal communication skills.

  • Demonstrated ability to manage competing priorities and meet deadlines.

  • Strong judgment, discretion, and ability to maintain confidentiality.

  • Experience with equity administration vendors and platforms preferred.

At Vantive, we are committed to equitable pay for all employees, and we strive to be more transparent with our pay practices. The estimated base salary for this position is $180,000 - $250,000 annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based on upon location, skills and expertise, experience, and other relevant factors.
